TERMS OF USE
These Terms and Conditions ("Agreement") govern the use of the EV Solution ("Service") provided by EV Concierge ("Provider") to the customer ("User"). By using the Service, the User acknowledges that they have read and understood this Agreement and agrees to be bound by its terms and conditions.
Use of Service
The User must also comply with all applicable laws and regulations while using the Service.
Service Availability
The Provider shall make reasonable efforts to ensure that the Service is available at all times. However, the Provider does not guarantee uninterrupted or error-free Service. The Provider reserves the right to suspend or terminate the Service at any time and for any reason.
Customization of EV Concierge
The Provider shall work with the User to create a customized EV Concierge that meets the User's specific needs. The Provider shall use real criteria, data, and financial inputs to create a business case that will help the User make informed decisions about their EV charging needs.
Warranty and Maintenance
The Provider warrants that the EV charging equipment will be free from defects in material and workmanship for a period of [insert time frame] from the date of installation. The Provider shall provide maintenance and repair services for the EV charging equipment during the warranty period. After the warranty period, the User may purchase maintenance and repair services from the Provider at an additional cost.
Fees
The User agrees to pay all fees associated with the use of the Service, as set out in the Provider's pricing schedule. The Provider reserves the right to change the fees at any time, with prior notice to the User.
Payment
The User agrees to pay all fees in full and on time. The User shall provide the Provider with a valid payment method, such as a credit card or bank account, for the payment of fees. The Provider shall charge the payment method on file for all fees due.
Termination and Refund
The User may terminate this Agreement at any time by giving written notice to the Provider. If the User terminates this Agreement before the installation of the EV charging equipment, the Provider shall refund any fees paid by the User in full. If the User terminates this Agreement after the installation of the EV charging equipment, the Provider shall refund any unused portion of the fees paid by the User on a prorated basis.
Limitation of Liability
The Provider shall not be liable to the User or any third party for any damages arising out of the use of the Service, including but not limited to lost profits, lost data, or business interruption.
Indemnification
The User agrees to indemnify and hold harmless the Provider from any claims, damages, or expenses arising out of the User's use of the Service, including but not limited to claims for infringement of intellectual property rights, defamation, or breach of privacy.
Property Damage
The Provider shall be liable for any property damage that occurs as a result of the Provider's negligence or willful misconduct while installing or servicing the EV charging equipment. The Provider's liability for property damage shall be limited to the actual cost of repairing or replacing the damaged property.
Liability for Personal Injury
The Provider shall not be liable for any personal injury that occurs as a result of the User's use of the EV charging equipment. The User shall assume all risk and liability for personal injury that may occur while using the EV charging equipment.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the state in which the Provider is located. Any disputes arising out of this Agreement shall be resolved in the courts of the state in which the Provider is located.
Modification of Agreement
The Provider may modify this Agreement at any time by providing written notice to the User. The User's continued use of the EV charging equipment after the effective date of the modification constitutes acceptance of the modified Agreement.
